A small representative portion of Tihomir’s work comprise advising:

• Advised Ascory Bank AG and its Bulgarian branch on the preparation and negotiation of transaction documentation relating to the extension of financing facilities to clients in connection with renewable energy projects (including the development and acquisition of photovoltaic power plants and battery energy storage systems), financial and leasing businesses, residential and commercial real estate developments, and fintech financing transactions. Scope of work included drafting and reviewing facility agreements, security documents and ancillary transaction documentation.
• Advised GlaxoSmithKline in connection with the voluntary liquidation of its Bulgarian subsidiary, including preparation of all corporate and employment documentation required for the liquidation process, implementation of employee redundancy procedures, and representation before the relevant Bulgarian state authorities.
• Advised Syzygy OOD and its affiliated subsidiaries in connection with the issuance of bank guarantees by UniCredit Bulbank AD for the development of renewable energy projects, including review and revision of framework agreements, security documentation and related transaction documents.
• Advised on the issuance of EUR 500 million 6.500% Guaranteed Secured Notes by Eastern European Electric Company B.V., an indirect wholly owned subsidiary of Eurohold Bulgaria AD, admitted to trading on the Euro MTF market of the Luxembourg Stock Exchange, including advising on transaction documentation and the establishment of security package arrangements.
• Advised on a EUR 18 million facility agreement entered into by, inter alios, Belozem Solar Park 2 OOD as borrower, UniCredit Bulbank AD, United Bulgarian Bank AD, Eurobank Bulgaria AD and Raiffeisen Bank International AG as lenders, and UniCredit Bulgaria AD as Agent and Security Agent, for the financing of a battery energy storage system with 36 MW power and 72 MWh capacity, including advising on transaction documentation and security establishment.
• Advised on a EUR 98 million facility agreement entered into by, inter alios, Belozem Solar Park 2 OOD as borrower, UniCredit Bulbank AD, United Bulgarian Bank AD, Eurobank Bulgaria AD and Raiffeisen Bank International AG as lenders, and UniCredit Bulgaria AD as Agent and Security Agent, in relation to the financing of a 160 MWp photovoltaic power plant project, including advising on transaction documentation and security establishment.
• Advised on a EUR 460 million senior facilities agreement entered into by, inter alios, Eastern European Electric Company B.V. as borrower, J.P. Morgan SE as initial mandated lead arranger, The Bank of New York Mellon as agent, DSK Bank as Bulgarian Security Agent, and the financial institutions listed therein as lenders, for the refinancing of existing indebtedness incurred in connection with the acquisition of CEZ Group’s business in Bulgaria, including advising on transaction documentation and security establishment.
• Advised Nielsen Admosphere in connection with the voluntary liquidation of its Bulgarian subsidiary, including preparation of all corporate and employment documentation required for the liquidation process, implementation of employee redundancy procedures, and representation before the relevant Bulgarian state authorities.
• Advised on a EUR 360 million senior facilities agreement entered into by, inter alios, Eastern European Electric Company B.V. as borrower, J.P. Morgan AG as initial mandated lead arranger, The Bank of New York Mellon as agent, DSK Bank as Bulgarian Security Agent, and the financial institutions listed therein as lenders, including advising on transaction documentation and security establishment.
